This page describes how the platform works today, and we keep it current as the product changes. It is not legal advice.
What this covers
These terms apply when you create a workspace, use the platform, or use this website. If your organisation has signed a separate written agreement with ExecCortex, that agreement wins wherever the two disagree.
The Data Processing Agreement, the Acceptable Use policy and the Anti-Spam policy are part of these terms rather than separate documents you can decline.
Accounts, and who is responsible for them
You are responsible for what happens under your workspace, including what the people you invite do in it. That is not a disclaimer so much as a description of how permissions work: you control who is a member and what each role can reach, so you are the only party in a position to be responsible for it.
- Keep your credentials to yourself, and turn on a second factor. The product supports it.
- Tell us promptly if you think an account has been taken over.
- Remove people when they leave. Ending a member's access takes effect on their next request rather than whenever a token happens to expire.
- You must be old enough to enter a contract where you live, and the platform is not intended for personal use by children.
What you can expect from the service
We will provide the platform with reasonable skill and care, keep the security measures described on this site, and tell you about planned maintenance that will interrupt it.
⚠️ We do not currently publish an uptime commitment with a credit attached to it, and we would rather say that than imply one. If you need a contractual availability figure, ask, and we will talk about it rather than pointing you at a number nobody measures.
Your data stays yours
You own everything you put into your workspace. We claim no rights over it beyond what is needed to run the service you asked for: storing it, backing it up, showing it to the people you have given access, and processing it when a feature you used requires it.
You can export your data at any time from inside the product, and you do not need our permission or our help to do it.
What the platform may not be used for
The Acceptable Use policy sets this out in full. In short: not for anything unlawful, not to reach another workspace's data, not to send mail to people who did not ask for it, and not to degrade the service for anyone else.
A workspace found doing any of those is suspended, and we tell you why rather than disabling it quietly.
Money
The base plan is free, takes no card, and does not expire. Apps are added per workspace, and capacity packs raise a single limit. What each costs is on the pricing page, read live from the platform rather than typed into a marketing page.
- Billing is per workspace. One company with several workspaces holds several subscriptions and they do not pool.
- Charges are taken by our payment provider. We do not hold your card number.
- Prices can change with notice, and a change never applies to a period you have already paid for.
- Taxes are added where they apply.
Ending it
You can cancel from inside the workspace at any time. Cancelling stops the next charge and leaves the current period running to its end. The Refund and Cancellation page has the detail.
We can end or suspend an account for a serious or repeated breach of these terms, for non-payment, or where we are required to. Except where the law or the seriousness of a breach prevents it, we will tell you first and give you a chance to fix it.
When an agreement ends you can export your data during the wind-down period. After that it is deleted, subject to the backup window in the privacy policy.
Liability, in plain words
Nothing here limits liability that cannot legally be limited, including for death or personal injury caused by negligence, or for fraud.
Beyond that, neither side is liable to the other for indirect or consequential loss, for lost profits, or for loss of data where the other side could reasonably have kept a copy. Our total liability is capped at what you paid us in the twelve months before the claim.
⚠️ The cap and the clause above it are the two paragraphs a lawyer will rewrite first, and they should be read before this site is announced.
Changes to these terms
We will post a new version here with a new date, and tell workspace owners before a material change takes effect. Continuing to use the platform after that is acceptance; if you would rather not accept, you can cancel and we will not charge for a period you did not want.
Law, and where a dispute goes
🔴 THE GOVERNING LAW AND THE FORUM ARE NOT YET STATED, because they follow from where the business is incorporated and that belongs to whoever files the paperwork rather than to this page. They must be filled in before launch. An agreement that does not say which law applies is an agreement whose meaning is argued about first and read second.
